We are committed to sound governance principles and the application of appropriate business ethics and standards in how we conduct our affairs and interact with our stakeholders.
The Board Members oversee that good corporate governance is practiced throughout Zeda Limited.
The Board ensures that Zeda Limited complies with all its statutory obligations as specified in the Company’s Memorandum of Incorporation, the South African Companies Act, as well as all other regulatory requirements, including statutory and regulatory obligations of the jurisdictions where the Group operates.
The Board endorses King IV and recognises the importance of complying with the code’s corporate practices.
Board of Directors
The size and composition of the Board considers the Company’s Memorandum of Incorporation, applicable legislation, regulatory requirements and King IV.
The Board’s balance and composition considers the needs of the Group and provides an appropriate balance of knowledge, skill and experience to lead Zeda Limited effectively.
The Board comprises two Executive Directors and five Independent Non-Executive Directors. There is an appropriate balance of power and authority on the Board so that no individual has unfettered powers of decision-making and no individual dominates its deliberations and decisions.
The Board is responsible for:
- Providing the Zeda Limited with a clear strategic direction
- Overseeing the development and implementation of key policies
- Ensuring compliance with all applicable statutory and regulatory requirements
- Approving the Group’s financial objectives and targets
- Ensuring there is adequate succession planning at senior levels
- Reviewing operational performance and management
- Reviewing policies and processes to mitigate risks and ensure effective internal controls
